OrgWisely User Agreement

1. Acceptance of Terms

By creating an account or using the Platform, you agree to this User Agreement. If you do not agree, do not use the Platform.

2. Products and Accounts

OrgWisely operates the Platform. Products include HoldATime.com, HOAResidents.com, and OrgWisely.com (collectively, the "Platform").

One account, using the same email address, can be used across these products. These products are not service providers to one another.

3. Plans

HoldATime plans include Free, Core, Pro, and an optional Public School Starter. Features and limits may change.

Free and Public School Starter may include branding and feature limits. Public School Starter requires approval. It does not include booking-fee collection or removal of HoldATime branding unless we say otherwise in the product.

4. Payments

Optional amenity or resource booking fees on paid plans are charged through the organization's Stripe account. The organization is the merchant of record for those fees. OrgWisely does not take a cut of those amenity charges. Refunds of amenity fees are the organization's responsibility.

Platform subscription fees, such as Core or Pro, are separate and are paid to OrgWisely through Stripe.

We do not guarantee that the Platform will be available without interruption.

5. Roles

Organization administrators act for the organization. Members and guests must follow the organization's rules and this Agreement.

You are responsible for content you post and for complying with your organization or community's governing documents and applicable laws.

6. Acceptable Use

You agree not to:

• Scrape the Platform
• Create fake organizations to evade limits
• Interfere with other people's bookings
• Upload someone else's license plate or photo without authority
• Post illegal content
• Abuse email or SMS

7. User-Generated Content

You control what information you share on the Platform. Once you voluntarily share information with other users, OrgWisely cannot guarantee its privacy.

8. Parking and On-Site Checks

The Platform helps an organization record who reserved a resource, including a vehicle description when that organization turns those fields on. We are not a towing company, a law-enforcement agency, or a parking authority. We do not issue citations, operate gates, or tow vehicles.

9. United States

The Platform is offered for organizations in the United States. Data is processed in the United States. Use from outside the United States is at your own risk. We may decline or close use that is clearly outside the United States.

10. Suspension and Termination

We may suspend or terminate an account or an organization for a violation of this Agreement, non-payment, abuse, or risk to the Platform. We may refuse or close use that is clearly outside the United States.

11. No Legal or Professional Advice

The Platform is a communication and organizational tool. We do not provide legal, financial, or governance advice. You should consult qualified professionals for such matters.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OrgWisely, its owners, operators, and affiliates shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages.

The total liability of OrgWisely to you or any organization, community, or member for all claims arising out of or related to the Platform is limited to the greater of (a) one hundred twenty US dollars (US $120) or (b) the fees you (or your organization) actually paid to OrgWisely for the Platform in the one (1) calendar month immediately before the claim.

This limitation applies regardless of the form of action and whether the claim is based in contract, tort, or any other legal theory. You acknowledge that this limitation is a material term of this Agreement.

13. Indemnification

You agree to indemnify and hold harmless OrgWisely and its owners from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, content you post, or violation of this Agreement.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights.

Informal Resolution: Before filing any claim, you agree to first contact us at support@holdatime.com and attempt to resolve the dispute informally.

Binding Arbitration: If the dispute is not resolved informally within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator and will take place in Florida, or another mutually agreed location.

Class Action Waiver: YOU AND OrgWisely AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Arbitration Costs: Each party will bear its own costs of arbitration, unless the arbitrator determines otherwise.

Exceptions: This arbitration agreement does not apply to claims for injunctive or other equitable relief related to intellectual property or unauthorized use of the Platform.

15. Governing Law

This Agreement shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles.

16. Changes

We may update this Agreement. Continued use after notice is acceptance of the updated Agreement. Notice may be a new date posted on this page, an email, or both.

17. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and OrgWisely.
