OrgWisely User Agreement

1. Acceptance of Terms

By creating an account or using OrgWisely or any OrgWisely product (collectively, the "Platform"), you agree to this User Agreement. If you do not agree, do not use the Platform.

2. User Responsibilities

You are solely responsible for all content you post and for complying with your organization or community's governing documents and applicable laws.

3. User-Generated Content

You control what information you share on the Platform. Once you voluntarily share information with other users, OrgWisely cannot guarantee its privacy.

4. No Legal or Professional Advice

The Platform is a communication and organizational tool. We do not provide legal, financial, or governance advice. You should consult qualified professionals for such matters.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OrgWisely, its owners, operators, and affiliates shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages.

IN NO EVENT SHALL THE TOTAL LIABILITY OF OrgWisely TO YOU OR ANY ORGANIZATION, COMMUNITY, OR MEMBER EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU (OR ON YOUR BEHALF) TO OrgWisely IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

This limitation applies regardless of the form of action and whether the claim is based in contract, tort, or any other legal theory. You acknowledge that this limitation is a material term of this Agreement.

6. Indemnification

You agree to indemnify and hold harmless OrgWisely and its owners from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, content you post, or violation of this Agreement.

7. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights.

Informal Resolution: Before filing any claim, you agree to first contact us at OverYonderOnTheCape@Gmail.com and attempt to resolve the dispute informally.

Binding Arbitration: If the dispute is not resolved informally within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator and will take place in Florida, or another mutually agreed location.

Class Action Waiver: YOU AND OrgWisely AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Arbitration Costs: Each party will bear its own costs of arbitration, unless the arbitrator determines otherwise.

Exceptions: This arbitration agreement does not apply to claims for injunctive or other equitable relief related to intellectual property or unauthorized use of the Platform.

8. Governing Law

This Agreement shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any use outside of the United States without prior written approval from OrgWisely is not allowed and constitutes a violation of this User Agreement and licensing.

9. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and OrgWisely.
